РЕФОРМСКИ ПРОЦЕСИ У ВЕЗИ ДРУШТАВА СА ОГРАНИЧЕНОМ ОДГОВОРНОШЋУ У ПРАВУ ЕВРОПСКЕ УНИЈЕ И ЊЕНИХ ДРЖАВА ЧЛАНИЦА

Sažetak

За разлику од националних законодавстава, на нивоу Европске уније недостаје детаљнија регулатива друштава са ограниченом одговорношћу. Међутим, у посљедњих двадесетак година је завладао тренд олакшавања поступка оснивања и услова пословања ове врсте привредних друштава, као најпогодније форме за спровођење такве идеје. Аутор у раду даје приказ и врши анализу развоја и имплементације идеје ублажавања услова оснивања друштава са ограниченом одговорношћу, а посебно кроз стварање његовог посебног облика - поједностављеног друштва са ограниченом одговорношћу. Констатује се да су бољи резултати остварени на националним нивоима, али и да је на нивоу Европске уније било помака, поготово по питању стварања услова за потпуну електронску регистрацију. Показало се да су сви напори на овом плану довели и до повећања броја новооснованих друштава са ограниченом одговорношћу, а поготово њиховог подтипа поједностављених друштава.
